1. Agreement to Terms

By accessing or using the website of INDOSYS (https://indosys.in) or contracting our engineering, mobile app development, proprietary software, or digital advertising services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services or digital platforms.

2. Professional Services & Deliverables

Since 2011, INDOSYS has provided custom web application architecture, cross-platform mobile development (iOS & Android), enterprise cloud software, and performance digital marketing campaigns. Each client engagement is defined by an agreed Scope of Work (SOW), project milestones, and specifications. Deliverables are tested and handed over according to agreed acceptance criteria.

3. Intellectual Property Rights

Unless otherwise explicitly agreed in writing:

• Custom Client Projects: Upon receipt of full payment, bespoke intellectual property developed specifically for the client is assigned as stipulated in the contract.
• INDOSYS Proprietary Products: Platforms including GoldRate by INDOSYS (goldrate.indosys.in), Society Management ERP (society.indosys.in), and PlaceReplace (placereplace.in) remain the exclusive intellectual property of INDOSYS. Users receive only a limited, non-exclusive, revocable license to access these services.
• INDOSYS Frameworks: Underlying boilerplate code, algorithms, and libraries remain the proprietary asset of INDOSYS.

4. Performance Marketing & Meta Ad Campaigns

For clients utilizing our Meta / Facebook Advertising management, ad spend budgets are paid directly to advertising platforms. While INDOSYS uses data-driven strategies, conversion optimization, and A/B split-testing to maximize ROAS, performance outcomes depend on third-party market conditions, algorithmic shifts, and client offerings.

5. Limitation of Liability

In no event shall INDOSYS, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your access to or use of our software, websites, or services, including downtime or third-party service provider outages.

6. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of India. Any legal dispute, proceeding, or arbitration arising from these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
